Parties: “Prime Signal” or “we” or “us” means Prime Signal Software, LLC. “Customer” or “you” means the individual or entity that has created a Prime Signal account.
1. Acceptance of Terms
By creating an account or using the Prime Signal platform you agree to these Terms of Service. If you are using Prime Signal on behalf of an organization you represent that you have authority to bind that organization to these terms.
2. Description of Service
Prime Signal provides an AI marketing execution platform that monitors customer advertising accounts and websites, detects issues, and proposes or carries out changes to campaigns and creative. The service includes campaign monitoring, autonomous optimization, content generation, reporting, and related features as described at primesignalsoftware.com.
3. Account Registration
3.1 You must provide accurate and complete information when creating an account.
3.2 You are responsible for maintaining the security of your account credentials.
3.3 You must notify Prime Signal immediately of any unauthorized account access at security@primesignalsoftware.com.
3.4 You must be at least 18 years old to use the service.
4. Acceptable Use
4.1 You may use Prime Signal only for lawful purposes and only to manage advertising accounts, websites, and other properties that you own or are authorized to manage.
4.2 You may not use Prime Signal to:
- (a) Monitor or modify accounts or systems without authorization
- (b) Circumvent security controls of any system
- (c) Violate any applicable law or regulation
- (d) Infringe the intellectual property rights of others
- (e) Transmit malware or malicious code
- (f) Interfere with the operation of the Prime Signal platform
- (g) Resell access to the platform without a valid MSP Partner Agreement
5. Plans and Payment
5.1 Prime Signal is sold as a subscription, billed monthly or annually as you select at checkout. Current plans, prices, and included allowances are published at primesignalsoftware.com/pricing:
- Amplify: $29 per month, or $23 per month billed annually. Includes 20 AI actions per month, 2 connected ad platforms, 1 website, and in-app assistant support.
- Amplify Pro: $79 per month, or $63 per month billed annually. Includes 100 AI actions per month, 5 connected ad platforms, 5 websites, and in-app assistant and email support.
- Amplify Agency: $199 per month, or $159 per month billed annually. Includes 300 AI actions per month, unlimited connected ad platforms and websites, and in-app assistant and priority support. Additional client accounts are $29 per month each and add 50 AI actions each to your monthly allowance.
Annual billing is priced approximately 20 percent below the monthly rate on every plan.
5.2 Included allowances and usage charges. Each plan includes an allowance of AI actions for each monthly billing period. Usage beyond your included allowance is billed as metered usage. Metered usage applies to AI actions, report generation, SMS notifications, and voice escalations, at the per-unit rates shown at checkout and itemized on your invoice. Unused allowance does not carry over between billing periods.
5.3 Credits. Credits are an internal metering unit used to account for AI usage within your organization. New organizations receive 100 onboarding credits when the organization is created. Credits have no cash value, are not exchangeable, and are not refundable except as required by law. Prime Signal does not sell credits as a standalone product.
5.4 Auto-renewal. Subscriptions are billed in advance and auto-renew at the end of each billing period unless canceled at least 7 days before the renewal date.
5.5 Prime Signal reserves the right to adjust subscription and usage pricing with 30 days notice to existing customers.
5.6 Cancellation and refunds. You may cancel at any time in billing settings. Canceling a monthly subscription takes effect at the end of the current billing period. Canceling an annual subscription takes effect at the end of the paid annual term. Prime Signal does not prorate or refund a billing period or annual term that has already been paid, and metered usage already incurred is billed in full, except where Prime Signal has published a money-back guarantee that applies to your plan, in which case the published terms of that guarantee govern, or where a refund is required by law.
5.7 All prices are in USD and exclusive of applicable taxes.
6. Autonomous Action: Important Limitations
6.1 Prime Signal uses artificial intelligence to analyze your connected advertising accounts and websites and to propose or carry out changes, including budget changes, pausing or resuming delivery, bid and targeting changes, and creative rotation. While we take care to generate accurate and safe recommendations, AI-generated analysis and actions may be wrong or have unintended consequences, including changes to your advertising spend and delivery.
6.2 Operating modes. Every organization starts in MONITOR, which writes nothing to your accounts. ADVISE proposes changes for your approval and runs nothing without one. GUARD carries out low risk changes automatically and still requires your approval for higher risk changes. AUTOPILOT carries out approved playbooks automatically within the guardrails you configure.
6.3 GUARD and AUTOPILOT act on your live advertising accounts without requiring your prior approval for each action. By enabling these modes you accept the risk that an action may not perform as expected. We strongly recommend staying in MONITOR or ADVISE until you have evaluated Prime Signal's performance on your own accounts.
6.4 Every proposed and executed action is recorded with its reason, its risk classification, the approving user where approval was required, and the result returned by the advertising platform. Prime Signal retains this action history for 12 months.
6.5 PRIME SIGNAL IS NOT LIABLE FOR ANY DAMAGES ARISING FROM AI-GENERATED ACTIONS CARRIED OUT AUTOMATICALLY IN GUARD OR AUTOPILOT MODE. YOUR USE OF THESE MODES IS ENTIRELY AT YOUR OWN RISK.
7. Data and Privacy
7.1 Prime Signal processes your data as described in our Privacy Policy.
7.2 You retain ownership of all your data. Prime Signal processes your data only to provide the service.
7.3 Prime Signal does not sell your data to third parties.
7.4 Your campaign, account, and website data is processed by Anthropic's Claude AI models to produce analysis, recommendations, and content. By using Prime Signal you consent to this processing.
7.5 Enterprise customers may configure Prime Signal to use their own AI provider, in which case your data is not sent to Anthropic. See primesignalsoftware.com/privacy for details.
8. Intellectual Property
8.1 Prime Signal retains all rights to the Prime Signal platform, including all software, algorithms, and documentation.
8.2 You retain all rights to your data, creative assets, and advertising accounts. Nothing in these terms transfers any intellectual property rights to Prime Signal.
8.3 Content, creative assets, and campaign configurations generated by Prime Signal's AI for your account are owned by you.
9. Confidentiality
9.1 Each party agrees to keep the other's confidential information confidential and to use it only for purposes of performing under these terms.
9.2 Your platform credentials, account data, and configuration are your confidential information.
9.3 Prime Signal's pricing, algorithms, and internal systems are Prime Signal's confidential information.
10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME SIGNAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PRIME SIGNAL IN THE 12 MONTHS PRECEDING THE CLAIM.
10.2 IN NO EVENT SHALL PRIME SIGNAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY INCLUDING CONTRACT, TORT, OR OTHERWISE.
11. Indemnification
You agree to indemnify and hold Prime Signal harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any third party rights.
12. Service Availability
12.1 Prime Signal targets 99.9% uptime for the platform. The Amplify, Amplify Pro, and Amplify Agency plans do not include a guaranteed availability level.
12.2 Customers who have executed a Service Level Agreement with Prime Signal receive the availability, response, and service credit commitments specified in that agreement.
12.3 Scheduled maintenance will be announced at least 48 hours in advance on the Prime Signal status page at primesignalsoftware.com/status.
13. Termination
13.1 You may terminate your account at any time through account settings.
13.2 Prime Signal may terminate or suspend your account immediately for material breach of these terms, non-payment, or activity that threatens the security or integrity of the platform.
13.3 On termination, your access to the service ends immediately. Remaining credit balances and unused monthly allowances have no cash value and are forfeited except where required by law.
13.4 You may request export of your data within 30 days of termination. After 30 days data will be deleted.
14. Changes to Terms
Prime Signal may update these terms with 30 days notice via email to your registered address. Continued use after the effective date constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Hillsborough County, Florida.
16. Entire Agreement
These terms, together with the Privacy Policy and any applicable Service Level Agreement or MSP Partner Agreement, constitute the entire agreement between you and Prime Signal regarding the service.
