This MSP Partner Agreement supplements the Terms of Service for customers using Prime Signal under an MSP subscription tier.
1. Reseller Rights
1.1 Prime Signal grants you a non-exclusive, non-transferable right to resell Prime Signal services to your clients as part of your managed service offering.
1.2 You may bundle Prime Signal services with your own services and set your own pricing to your clients.
1.3 You may not represent yourself as Prime Signal or claim to be affiliated with Prime Signal beyond being an authorized reseller.
1.4 White-label rights (available on MSP Scale, MSP Enterprise, and with the white-label add-on) allow you to remove Prime Signal branding from client-facing interfaces. You may not claim to have built the underlying technology.
2. Client Data
2.1 You are responsible for obtaining all necessary consents from your clients to connect their infrastructure to Prime Signal.
2.2 You are responsible for ensuring your clients understand that their code and infrastructure data is processed by AI systems.
2.3 Client data is logically separated within the Prime Signal platform. You may not access one client's data from another client's account.
2.4 On termination of a client engagement you must remove that client's site from your Prime Signal roster within 30 days. Client data will be deleted within 60 days of site removal.
3. Billing
3.1 You are billed monthly for all active client sites in your roster at your applicable tier rate.
3.2 Adding a client site mid-month is prorated to the next billing date.
3.3 Removing a client site takes effect at the end of the current billing period. No refunds for partial months.
3.4 Volume tier is determined by active site count at the start of each billing period. If your site count drops below a tier minimum your rate adjusts at the next billing period.
4. Support
4.1 Prime Signal provides platform support to MSP partners.
4.2 You are responsible for first-line support to your clients. Prime Signal does not provide direct support to your clients.
4.3 You may escalate platform issues to Prime Signal support at support@primesignalsoftware.com.
5. Termination
5.1 Either party may terminate this agreement with 30 days written notice.
5.2 On termination you have 30 days to migrate your clients to an alternative solution.
5.3 Prime Signal may terminate this agreement immediately for material breach including non-payment, abuse of the platform, or violation of client data obligations.
